The step by step process for incorporating an Indian company

These are the essential steps which will guide you on how to incorporate a company in India step by step:

  1.       Choose six different company names as options, with the names indicating the company objectives
  2.       Make sure that the names chosen are not similar to that of some other registered company. It should also be in accordance with the rules regarding names and emblems. You can check if the name is available on the portal
  3.       Next, you must apply to the Registrar of Companies (RoC) in eform1A to verify if the name is available. Pay a fee of Rs. 500, and affix the digital signature of the applicant proposing the name. Apply for another name if the proposed one is unavailable
  4.       Post your name-approval, and within 60 days, the applicant can apply for new company registration by filing Forms 1, 18, and 32
  5.       Get the Memorandum and Articles of Association drafted, let the RoC approve them, and print them
  6.       Stamp the memorandum and articles with the appropriate stamp duty
  7.       With one person as a witness, two subscribers must sign the Memorandum and Articles in their writing, mention their father’s name, occupation, and address, and state the number of shares subscribed
  8.       Check whether the Memorandum and Articles are dated on a date after the stamping date
  9.       Visit the online portal, log in, fill the forms, and submit essential documents mentioned in the e-form
  •       Form 1 – Declaration of compliance
  •       Form 18 – Notice of the location of the company’s registered office
  •       Form 32 – The director’s, manager’s, or secretary’s details
  1.   Submit the e-forms with a digital signature, pay the prescribed fees for filling and registration, and send physical copies of the Memorandum and Articles of Association to the RoC
  2.   Get the Certificate of Incorporation from the RoC, after your form completes processing, and corporate identity gets generated
